Kintone CDN Terms of Service

Kintone Content Delivery Network (hereinafter referred to as “Kintone CDN”) provides the users of Kintone cloud services provided by Kintone Corporation (hereinafter referred to as “Kintone”) including the “Store Services” and free trial use of any of these services (collectively hereinafter referred to as the “Services” ) with JavaScript Programs, CSS, etc., (hereinafter collectively referred to as the “Content”) so that they may use such Content to customize Kintone products.

Persons who use the Kintone CDN (hereinafter referred to as “Users”) shall use the Content in accordance with these terms and conditions (hereinafter referred to as the “Terms and Conditions”). By using the Services, Users are deemed to have agreed to all of its terms. Kintone may update the terms at any time in its sole discretion, and the updated version of the Terms and Conditions will be posted on this site. Users will be deemed to have accepted the updated Terms and Conditions if Users use any aspect of the Services after the updated Terms and Conditions are posted.

Article 1 (Users)

Users who may use the Kintone CDN are limited to the users of the Kintone services and those who develop for the users of the Kintone services, and any persons other than the Users are not permitted to use the services.

Article 2 (Intellectual Property Rights and License of Content)

Any intellectual property rights of the Content offered on the Kintone CDN, such as ownership and copyrights, belong to Kintone or the provider of each Content (hereinafter referred to as “Providers”), not to Users. Users are not permitted to use the Content in violation of intellectual property rights of Providers and all other rights related to the Content. When Users use the Content, Users shall check any licenses designated by Kintone and/or Providers in advance and use the Content in accordance with such licenses.

Article 3 (Change and Deletion of Content and Abolishment of Programs)

Any Content offered on the Kintone CDN may be updated at the discretion of Kintone, and the Content deemed inappropriate at the discretion of Kintone may be deleted from Kintone CDN without prior notice. Kintone CDN may be temporarily suspended or abolished at the discretion of Kintone with prior notice to Users. The Users acknowledges and agrees of such change and deletion of the Content and temporary suspension or abolishment of programs in advance.

Article 4 (Disclaimer and Responsibility for Third Parties)

Users shall use the Kintone CDN at their own responsibility, and Kintone shall not be liable for any and all defects, failures or other trouble caused by the use of the Content. Also, Kintone shall not be obligated to repair any defects in and add any functions to the Content offered on the Kintone CDN. Users shall not claim to Kintone any expense, damage, responsibility in relation to any performance or non-performance of Kintone in the Terms and Conditions. If any of the Users cause damage to any third party by the use of the Content, such User shall be liable for damage incurred by such third party. If Kintone suffers damage claimed by any third party, or any expenses or damages pertaining to performance or non-performance of Kintone in the Terms and Conditions or any other use of Content, Users shall take full responsibility for, and shall indemnify Kintone against, such expenses and damage.

Article.5 (Severability)

To the extent permitted by applicable law, Users and Kintone hereby waive any provision of law that would render any clause of the Terms and Conditions invalid or otherwise unenforceable in any respect.  In the event that a provision of the Terms and Conditions is held to be invalid or otherwise unenforceable, such provision will be interpreted to fulfill its intended purpose to the maximum extent permitted by applicable law, and the remaining provisions of the Terms and Conditions will continue in full force and effect.

Article.6 (Governing Law and Arbitration)

  1. The Terms and Conditions shall be governed by the laws of the state of California without reference to its conflict of laws principles.
  2. Users and Kintone Corporation shall firstly request the other party that any controversy, claim or dispute arising in relation to these Terms of Use or Kintone (“Dispute”) is settled amicably through good faith discussions and negotiations. In the event that Dispute cannot be amicably resolved thereby, Users and Kintone Corporation agree that Dispute shall be finally settled by arbitration in California in accordance with the rules of the American Arbitration Association..
